Confidential Information Memorandum writing, for a sale or a raise.
I write CIMs for founders and owners taking their business to market, whether that is a sale, a merger, or a serious raise. A clear, credible document that makes the case to the people doing the diligence.
What's included
—A full Confidential Information Memorandum, structured for buyers or investors doing real diligence.
—The business, the market, the financials, and the opportunity, told as one coherent story.
—The commercial case made properly, so the numbers and the narrative back each other up.
—Formatting and design ready to go into a data room.
—Discretion throughout, because this is usually a confidential process.
Who this is for
Founders and owners preparing to sell the business, in part or in full.
Companies entering a merger or acquisition process who need to present themselves properly.
Businesses raising a larger or later-stage round where a deck is not enough.
How we work
01
A conversation first
A paid 30-minute consultation to understand the business, the process you are running, and who will be reading this.
02
The case
I build the commercial story and pull the financials and the market into one coherent argument.
03
The document
I write and format the full CIM, structured the way buyers and their advisors actually read one.
04
Ready for the data room
You get a finished, confidential document you can put in front of serious counterparties.
Outcomes
You go into the process with a document that makes your business easy to understand and hard to argue with, so the people doing the diligence spend their time on the deal rather than deciphering the story.
Common questions
What is a CIM?
A Confidential Information Memorandum is the detailed document you give serious buyers or investors once a process is underway. It sets out the business, the market, the financials, and the opportunity in full, so they can do proper diligence.
When do I need a CIM rather than a pitch deck?
A deck earns the first meeting; a CIM carries a real sale or a larger raise once counterparties are engaged and doing diligence. If you are selling the business or running a serious M&A or later-stage process, you will usually need one.
Is the process confidential?
Yes. A CIM is a confidential document by definition, and I treat the whole engagement that way.
How much does a CIM cost?
It depends on the size and complexity of the business and the process. We scope it and agree the fee in the first consultation, which is $125.
